1. Scope of application
1.1. The business processing and delivery are carried out exclusively according to the following General Terms and Conditions (GTC).
1.2. Any conflicting or deviating provisions of the customer do not apply to the following GTC.
1.3. If deadlines are specified as working days, this includes all weekdays except Saturdays, Sundays, and public holidays.
2. Access to the contract and GTC text
2.1. We store the contract text and send you the order data by e-mail. You can view orders in your customer account if you have created one. If you have not created a customer account, the contract data is no longer accessible on the internet for security reasons.
2.2. You can view, print, and save these GTC at any time at https://www.woodberg.de/de/agb. Saving and printing is done through the functionality of your internet browser (e.g., File > Save As or e.g., File > Save As).
3. Conclusion of contract / Reservation of delivery
3.1. The presentation of the products in the webshop woodberg.de does not constitute a legally binding offer, but rather an non-binding online catalog. By clicking the button "Buy now!" at the end of the ordering process, you place a binding order for the goods in the shopping cart. After this order is placed, Woodberg will send an email confirmation of the receipt of the order. This email serves solely as a confirmation of receipt and does not constitute acceptance of the order. A contract between Woodberg and you is only concluded when Woodberg confirms by email that the ordered goods have been shipped. Only the goods listed in the email that is sent at the time of shipment are part of the contract.
3.2. Our online database is constantly updated to ensure the availability of the products offered in the shop. Woodberg is entitled to withdraw from the purchase contract if Woodberg is not properly and timely supplied despite a properly concluded covering transaction, is not responsible for the lack of availability, and no procurement risk is assumed by Woodberg. We commit to inform you immediately about the unavailability and, in this case, to refund any advance payment you may have made promptly.
4. Payment / Prices
4.1. The available payment methods are displayed on the separate "Payment" page. Unfortunately, payment by sending cash or checks is not possible.
4.2. If there are any chargebacks or other payment reversals on your part and this occurs without authorization, you must bear the costs incurred.
4.3. All prices listed in the online shop www.woodberg.de are in Euro and include the statutory value-added tax. Shipping and packaging costs will be added according to our price list. You can view this on the "Shipping & Delivery" page. Any customs duties incurred for deliveries to countries outside the EU must be borne by you in such cases.
5. Purchase via Klarna
In cooperation with Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden, we offer the following payment options. Payment is made to Klarna:
5.1. Invoice: The payment term is 30 days from the dispatch of the goods/tickets or, in the case of other services, from the provision of the service. The complete invoicing conditions for the countries where this payment method is available can be found here: Germany, Netherlands, Austria.
5.2. Direct debit: Available in Germany, the Netherlands, Sweden, and Austria. The debit occurs after the goods are dispatched. The timing will be communicated to you via email. The complete conditions can be found here: Direct debit

The use of the payment methods invoice, direct debit, and installment purchase requires a positive credit check. In this regard, we will forward your data to Klarna for the purpose of address and credit check as part of the purchase initiation and processing of the purchase contract. Please understand that we can only offer you those payment methods that are permissible based on the results of the credit check. Further information and Klarna's terms of use can be found here. 6. Shipping
Shipping costs are always displayed up to date on the separate "Shipping & Delivery" page. If a shipment is made in multiple deliveries, we will of course only charge you the shipping cost contribution once.
7. Gift vouchers
7.1. Service content: Gift vouchers are issued with a specific monetary amount. Gift vouchers entitle you to purchase goods from our company. When purchasing the goods, the monetary amount specified in the gift voucher will be deducted. If the monetary amount of the voucher is less than the price of the goods, you must pay the difference. If it is above this price, your claims from the gift voucher for the difference amount remain valid. A conversion of gift vouchers into cash (a cash payout) is not possible.
7.2. Transfer/Redemption of the gift voucher: Gift vouchers are transferable. The person entitled under the voucher is always the one who can authenticate themselves in the context of redeeming the gift voucher using the code specified on the voucher. The redemption of the gift voucher takes place by entering the code specified on the voucher on our website (www.woodberg.com). The redemption of the gift voucher is only possible with us, not with third parties.
7.3. Limitation: Claims from gift vouchers for the acquisition of goods expire within three years after the end of the calendar year in which you received the gift voucher (electronically or in paper form). A transfer to third parties does not lead to an extension or a new beginning of this limitation period.
8. Transport damages
Woodberg assumes the transport risk. In the event that ordered goods arrive damaged due to transport, please contact us. You can do this either via email at: support@woodberg.de or alternatively by phone at: 06151 – 6291766, as well as by fax at: 06151 – 62917669, or in person at Schulstrasse 11 in 64283 Darmstadt during our opening hours.
9. International deliveries / Customs fees
Customs fees do not generally apply to shipments within the European Union (EU). Exceptions are those areas that do not belong to the customs territory of the EU; please inform yourself about the applicable customs regulations in your area before your purchase. Outside the EU, fees for the import of goods from the EU generally apply.
Fees may be levied by the respective destination country according to the customs requirements applicable there on goods sold from the EU to a country outside the EU or to a country with special regulations within the EU.
Customs fees are to be borne by the customer, and the customer must handle the corresponding administrative matters themselves, e.g., picking up the ordered goods at customs and processing the formalities.
More detailed information on the individual customs regulations and the respective amount of customs fees must be obtained in advance by the customer from the responsible customs office.
10. Warranty / Notification of defects
10.1. There are statutory liability rights for defects in goods.
10.2. Please inform Woodberg of any obvious defects in the goods immediately, but no later than within 2 weeks after delivery of the goods, using the contact methods provided above.
10.3. Woodberg is committed to customer satisfaction and will therefore review your concern regarding a notification of defects as quickly as possible and get in touch with you immediately. If you have contacted Woodberg via email and have not received a response after 5 working days, please inform us of your concern again. In rare cases, an email may have been "stuck" in the spam filter (either on our side or yours), or it may happen that an email did not arrive at Woodberg for other reasons. Your rights as a consumer in the event of a defect are not limited by this.
11. Right of withdrawal
Consumers in the EU have a right of withdrawal in accordance with the applicable regulations, which you can find separately under the withdrawal information.
If the contract declaration is revoked, so that you return the goods to Woodberg, please ensure that you return the goods in the same packaging in which you received them or adequately protect them. However, this request does not constitute a mandatory requirement for the effective exercise of the right of withdrawal.
12. Retention of title
12.1. For consumers, we retain ownership of the purchased item until the full payment of the invoice amount has been made.
12.2. If you are an entrepreneur acting in the course of your commercial or self-employed professional activity, a legal entity under public law, or a special fund under public law, we retain ownership of the purchased item until all outstanding claims from the business relationship with you have been settled. The corresponding security rights are transferable to third parties.
We commit to release the securities owed to us upon your request to the extent that the realizable value of the customer's securities exceeds the secured claim by more than 20%. The selection of the securities to be released is at our discretion.
13. Liability
13.1. We are fully liable for damages resulting from injury to life, body, or health, guarantees for the quality of the purchased item, fraudulent concealment of defects, and claims under the Product Liability Act.
13.2. Notwithstanding clause 11.1, our liability for slightly negligent breaches of duty is excluded, unless essential contractual obligations (the fulfillment of which enables the proper execution of the contract and/or the breach of which endangers the achievement of the contract's purpose and on which the customer may regularly rely, so-called cardinal obligations) are affected. This also applies to corresponding duty transfers of our vicarious agents.
13.3. Our liability for slightly negligent breaches of cardinal duties is limited to the foreseeable typical contractual damage at the time of the conclusion of the contract.
14. Usage rights
14.1. The website of the online shop www.woodberg.de, as well as the sub-pages listed there and the logos contained therein, enjoy copyright protection. The images contained therein are likely protected in accordance with § 2 para. 5 UrhG (Copyright Act) as photographic works, or works produced similarly to photographs, at least according to § 72 UrhG as photographs, or products produced similarly to photographs. Woodberg holds the exclusive usage rights for this.
14.2. Publications, reproductions, and distributions based on the protected intellectual property are only permitted with the written consent of Woodberg.
15. Final provisions
15.1. For all legal transactions or other legal relationships with Woodberg, the law of the Federal Republic of Germany applies. The UN Sales Convention (CISG) and any other international agreements, even after their incorporation into German law, do not apply.
15.2. In contracts for a purpose that cannot be attributed to the professional or commercial activity of the entitled party (consumer contracts), the choice of law according to clause 14.1 applies only insofar as the granted protection is not removed by mandatory provisions of the law of the state in which the consumer has their habitual residence.
15.3. If the buyer is an entrepreneur, Darmstadt is the exclusive place of jurisdiction for all disputes arising from the contractual relationship.
15.4. The language of the contract is German.
15.5. You only have a right of set-off if your counterclaims are legally established or undisputed or acknowledged by us. In addition, you have a right of retention only if and to the extent that your counterclaim is based on the same contractual relationship.
15.6. If the customer is in default with any payment obligations to us, all existing claims become immediately due.
16. Information on online dispute resolution
The EU Commission provides an internet platform for online dispute resolution (the so-called "OS platform"). The OS platform is intended to serve as a contact point for the out-of-court resolution of disputes concerning contractual obligations arising from online purchase contracts.

17. Severability clause
Should individual provisions of the contract, including these regulations, be or become wholly or partially ineffective, or should the contract have an unforeseen gap, the validity of the remaining provisions or parts of such provisions shall remain unaffected. The respective statutory regulations shall replace the ineffective or missing provisions.
